1.Acceptance of Terms
By accessing or using the Services in any capacity — as a visitor, a Publisher, an Advertiser, or a service client — you confirm that you have read, understood, and agree to be bound by these Terms and any policies referenced in them, including the Privacy Policy and the Cookie Policy. If you do not agree, do not use the Services.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.
2.Description of Services
Leads Cell operates a pay-per-call and lead generation network connecting Publishers (traffic sources) with Advertisers and buyers across insurance, legal, debt, home-service, and related verticals. Depending on the engagement, the Services may include:
- Acquisition services (telemarketing, lead generation, digital marketing, inbound services);
- Operational services (medical billing, IT services, web and CRM development, DNC scrubbing, VoIP and dialer support, outsourcing, freight dispatch, HR outsourcing);
- The Publisher Program, including campaign access, lead and call submission infrastructure, and payout processing;
- The Advertiser Program, including campaign configuration, lead and call delivery, and reporting.
Not every service described on the website is available in every region or to every applicant; availability is confirmed during application or onboarding.
3.Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Services. Publishers and Advertisers must operate a legitimate, lawfully organized business and provide accurate business and compliance information during application. Leads Cell may decline, suspend, or terminate access to any applicant or account at its discretion, including where compliance information cannot be verified.
4.Publisher Terms
Publishers approved for campaign access agree to the following, in addition to any campaign-specific insertion order or agreement issued at approval:
- Accurate representation. Application information — including traffic sources, data samples, call recordings, and compliance practices — must accurately reflect how the Publisher actually operates.
- Compliance responsibility. The Publisher is solely responsible for its own compliance with the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), applicable state telemarketing and privacy laws, and any consent, disclosure, or do-not-call requirements that apply to its traffic, regardless of any compliance review performed by Leads Cell.
- Campaign criteria and caps. Submissions are payable only when they meet the criteria, caps, and qualification rules disclosed for that campaign at the time of submission.
- Legal verticals. Where a campaign involves a legal vertical (for example, mass tort or injury claims), any e-signature, retainer, or case-file requirements disclosed for that campaign must be met before a submission is treated as complete.
- Audit and evidence. Leads Cell may request supporting records — including consent evidence, call recordings, or data samples — for any submission, at any time, and may withhold or reverse payment where evidence cannot be produced.
- Payment. Payout amounts, modules (including CPL, CPA, RevShare, or per-call/transfer arrangements), and cadence are as agreed during the agreement step of onboarding or in a specific campaign's terms.
5.Advertiser & Client Terms
Advertisers and service clients agree that:
- Campaign specifications, pricing, and delivery terms are governed by the applicable insertion order, statement of work, or service agreement, which controls over these Terms in the event of a conflict specific to that engagement;
- Leads and calls are delivered on a best-efforts basis against the criteria specified for a given campaign, and disputes over lead or call quality are handled under the dispute process disclosed for that campaign;
- Any consumer data received through the Services must be handled in accordance with applicable law, including any restrictions on further use or resale disclosed at the time of delivery.
6.Compliance & Legal Requirements
Leads Cell reviews Publisher and Advertiser compliance practices as part of onboarding and ongoing account monitoring, but this review does not substitute for, and does not create any warranty regarding, a party's own legal compliance. Each party remains independently responsible for its compliance with:
- The Telephone Consumer Protection Act (TCPA) and its implementing regulations;
- The Telemarketing Sales Rule (TSR) and National Do Not Call Registry requirements;
- State-specific telemarketing, consumer protection, and privacy statutes; and
- Any vertical-specific regulatory requirements (for example, insurance producer licensing or legal-marketing rules) that apply to its business.
Leads Cell reserves the right to suspend or terminate access immediately, without prior notice, where it reasonably believes a Publisher or Advertiser's conduct creates legal or regulatory risk.
7.Prohibited Conduct
Without limiting the foregoing, you may not use the Services to:
- Submit fabricated, duplicated, or misrepresented leads or calls;
- Initiate contact with consumers on the National Do Not Call Registry or any applicable internal or client-specific suppression list;
- Misrepresent your identity, business, traffic sources, or compliance practices;
- Interfere with or attempt to circumvent the Services' routing, tracking, or reporting systems;
- Use the Services in violation of any applicable law or third-party right.
8.Intellectual Property
The Services, including all software, dashboards, campaign materials, and content made available by Leads Cell, are owned by Leads Cell or its licensors and protected by applicable intellectual property laws. Except as expressly permitted for the purpose of participating in a campaign, you may not copy, modify, distribute, or create derivative works from the Services.
9.Confidentiality
Campaign criteria, pricing, payout terms, and any non-public information exchanged in connection with the Services are confidential and may not be disclosed to third parties, except as required by law or with prior written consent.
10.Disclaimers & Limitation of Liability
The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. Leads Cell does not guarantee any specific volume, conversion rate, or payable rate for any Publisher or Advertiser.
To the fullest extent permitted by law, Leads Cell's aggregate liability arising out of or relating to the Services will not exceed the amounts paid or payable to or by you, as applicable, in the three months preceding the claim, and Leads Cell will not be liable for indirect, incidental, consequential, or punitive damages.
11.Indemnification
You agree to indemnify and hold Leads Cell harmless from any claim, liability, or expense (including reasonable attorneys' fees) arising from your breach of these Terms, your violation of applicable law, or your traffic, campaigns, or business practices.
12.Termination
Either party may terminate a Publisher or Advertiser relationship in accordance with the notice terms agreed during onboarding. Leads Cell may suspend or terminate access to the Services immediately for a material breach of these Terms, non-compliance discovered during audit, or conduct that creates legal or reputational risk. Sections that by their nature should survive termination — including compliance responsibility, confidentiality, disclaimers, and indemnification — will survive.
13.Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, unless a separately executed agreement between the parties specifies otherwise.
14.Changes to These Terms
Leads Cell may update these Terms from time to time. Material changes will be reflected by updating the effective date at the top of this page. Continued use of the Services after a change takes effect constitutes acceptance of the revised Terms.
